These Terms of Service (“Terms”) govern your access to and use of Clipmine (the “Service”). By using the Service you agree to these Terms. This is a generic draft and should be reviewed by legal counsel before it is relied upon.
The Service
Clipmine lets you capture short-form videos, generates structured analyses of why they may work, and produces original, production-ready briefs adapted to your brand. The Service preserves the original source attribution of captured videos and is intended to help you create new, original content — not to reproduce others’ work.
Your account
You are responsible for your account, for keeping your credentials secure, and for all activity under your account. You must provide accurate information and promptly update it when it changes. You must be old enough to form a binding contract to use the Service.
Acceptable use
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. Among other things, you may not use the Service for illegal content, abusive scraping, or to repost other creators’ content as your own. We may suspend or restrict accounts that violate that policy.
Source attribution and ownership
Clipmine preserves the source attribution of the videos you capture and links back to the originals where possible. We do not claim ownership of the third-party videos you capture or the rights in them. As between you and Clipmine, you own the brand inputs you provide and the briefs generated for you, subject to the rights of any third parties whose content or marks may appear in source material.
No copyright-clearance promise
Clipmine does not clear rights and makes no promise that any captured video, identified pattern, transcript, analysis, or generated brief is free of copyright, trademark, publicity, or other third-party rights. Analyses and briefs are creative starting points. You are solely responsible for ensuring that the content you ultimately produce and publish is original, lawful, and properly licensed where required. When in doubt, consult your own legal counsel.
No guaranteed performance
The Service surfaces patterns and hypotheses about why content may have performed well. These are informed guesses, not promises. We do not guarantee any particular reach, views, engagement, conversions, virality, or business outcome. Outlier signals and metrics are derived from public data and may be incomplete or inaccurate.
Acceptable inputs
You represent that you have the right to submit the URLs, brand information, and other inputs you provide, and that doing so does not violate any law, platform terms, or third-party rights. You must respect the terms of service of the platforms the videos originate from.
Payment and plans
Paid plans are billed in advance through our payment provider on the cadence you select. Fees are non-refundable except where required by law. Plan limits are enforced by the Service, and we may change pricing or plan features with reasonable notice.
Intellectual property
The Service, including its software, design, and content we create, is owned by Clipmine and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms. You may not copy, resell, or reverse-engineer the Service except as permitted by law.
Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the maximum extent permitted by law.
Limitation of liability
To the maximum extent permitted by law, Clipmine and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid to Clipmine in the twelve months before the event giving rise to the claim.
Indemnification
You agree to indemnify and hold Clipmine harmless from claims, damages, and expenses arising out of your content, your use of the Service, or your violation of these Terms or third-party rights.
Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate access if you violate these Terms or the Acceptable Use Policy, if required by law, or to protect the Service and its users. On termination, your right to use the Service ends; provisions that by their nature should survive (such as disclaimers and limitations of liability) will survive.
Changes to these Terms
We may update these Terms as the Service changes. Material changes will be reflected by an updated date above and, where appropriate, additional notice. Because this is an early draft, expect revisions once reviewed by counsel.
